Terms and Conditions for Win Gardens Wholesale Greenhouse
1. Acceptance of Terms
By placing an order with Win Gardens, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not place an order.
2. Orders
All orders are subject to availability. Win Gardens reserves the right to limit quantities or discontinue products at any time without prior notice—unless a custom pre-order has been placed with a deposit. In the case of a custom pre-order with a deposit, Win Gardens will notify the Client promptly if any crop issues arise.
Spring Custom Pre-Orders
To guarantee availability, custom pre-orders for spring must be submitted no later than January 1st of each year. Minimums apply and typically start at 100–200 cells per variety, depending on the crop. A 30% deposit is required on all custom pre-orders, up to $10,000.
3. Payment Terms
For Spring 2025, your payment terms will mirror how many years you’ve placed orders with us.
Payment Due on Receipt: Payment for all orders is due upon receipt of the invoice unless otherwise specified. This is for clients who are in their first year ordering with us.
Net 15: Customers may elect to pay their invoice within 15 days of the invoice date without incurring any late fees. This is for clients who are in their second year of ordering with us.
Net 30: Customers may elect to pay their invoice within 30 days of the invoice date without incurring any late fees. This is for clients who are in their third year of ordering with us.
The above terms are for Spring 2025 and are in place from March 1 - July 1, 2025. Any orders before or after this period will be Payment Due Upon Receipt.
4. Late Fees
Invoices not paid by the specified due date will incur a late fee of 3% of the outstanding balance for each week that the payment is overdue. This fee will be calculated from the due date until the date payment is received in full.
5. Claims for Poor Condition
Inspect each and every order upon delivery. If a product isn’t up to your liking, send it back on the truck, do NOT accept the product.
Claims regarding plants received in poor condition must be made within 48 hours of receipt. Customers must notify Win Gardens via email or phone, providing details and photographic evidence of the issue.
Win Gardens will assess the claim and may offer a replacement or credit at our discretion.
6. Shipping and Delivery
Win Gardens will make every effort to meet delivery dates; however, we cannot guarantee delivery times. Delays due to unforeseen circumstances do not entitle the customer to a cancellation of the order.
All risks related to the plants are transferred to the customer upon delivery.
7. Limitation of Liability
Win Gardens is not liable for any indirect, incidental, or consequential damages arising from the sale or use of its products.
8. Governing Law
These Terms and Conditions shall be governed by the laws of the state in which Win Gardens operates.
9. Amendments
Win Gardens reserves the right to amend these Terms and Conditions at any time. Continued use of our services constitutes acceptance of any changes.
